Major Win For Founders & Investors: QSBS Gets A Powerful Upgrade

If you’re a tech entrepreneur, investor, or early-stage founder, this could be one of the most tax-advantaged moments in recent history to build—and sell—a small business.

The Senate just passed changes to Qualified Small Business Stock (QSBS) that dramatically expand its benefits:

  • Asset threshold raised from $50M → $75M
  • Capital gains exclusion cap increased from $10M → $15M
  • New tiered tax exemption allows partial exclusion before the 5-year mark
  • And get this: under the new rules, an investor could exempt up to $749 million from capital gains taxes if they invested $74.9M and the company 10X’d, according to Evercore’s Justin Miller.

Why does this matter?

  • It makes capital more accessible to small, high-growth companies
  • Encourages earlier-stage investing with less tax friction
  • Gives founders greater flexibility on when and how they exit

At JN Private Wealth, we work with entrepreneurs and business owners to help maximize the long-term value of your exit—and the new QSBS framework just became an even more powerful tool in that strategy.
